The following Terms of Use govern the use by you of One Economy Corporation's ("One Economy") Web Sites ("Sites"). The Terms set forth herein apply to all materials, online communications and other information that is or becomes available on any of the One Economy affiliated Web sites. BY SIGNING ON AND USING ANY OF THE ONE ECONOMY WEB SITES, YOU SPECIFICALLY AGREE TO ABIDE BY THESE RULES AND ANY MODIFICATIONS THERETO. Should you object to any term or condition of these Terms, any guidelines, or any subsequent modifications thereto or become dissatisfied with One Economy in any way, your only recourse is to immediately discontinue use of the One Economy Sites.

User's Obligation to Abide by Applicable Law: In connection with the use of One Economy's Sites, you shall abide by all applicable federal, state and/or local laws. The Information available on One Economy's Sites may include intellectual property that is protected under the copyright, trademark and other intellectual property laws of the United States and/or other countries (Intellectual Property Laws). Such Intellectual Property Laws generally prohibit the unauthorized reproduction, distribution or exhibition of all text, photographic and graphic (art and electronic) images, music, sound samplings and other protected materials. The violation of applicable Intellectual Property Laws may give rise to civil and/or criminal penalties.

Non-Commercial Use: One Economy's Sites are an online information exchange service for use by One Economy and the general public. You shall not, publish, transmit, reproduce, distribute or in any way use or exploit any information for commercial purposes or otherwise use the information in a manner that is inconsistent with these rules and regulations. Special considerations will be made for commercial use that is deemed acceptable by One Economy.

Privacy and Information Disclosure: One Economy has established a Privacy Policy to explain to users how their information is collected and used. Your use of the One Economy Sites signifies acknowledgement of and agreement to our Privacy Policy. You further acknowledge and agree that One Economy may, in its sole discretion, preserve or disclose your Content, as well as your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: comply with legal process; enforce these Terms; respond to claims that any Content violates the rights of third-parties; or protect the rights, property, or personal safety of One Economy, its users or the general public or as otherwise described in its Privacy Policy.

Prohibition Against Rogue Programming: You shall not post, transmit or make available in any way through the One Economy Sites any software or other materials which contain a computer virus, Trojan horse, time bomb, worm or other rogue programming ("Rogue Programming"). One Economy has no obligation to detect the presence of any Rogue Programming. Any downloading of software or other materials or any other use of the information on the One Economy web sites is at your risk, and you are advised to take adequate precautions to minimize any loss to your system caused by Rogue Programming, including use of anti-virus programs and proper backup of files.

Content of Information: You are responsible for the content of any information you put on the One Economy Sites. The information posted does not necessarily reflect the views of One Economy and in no event shall One Economy assume or have any responsibility or liability for any information posted to One Economy's Sites or for any claims, damages or losses resulting from the use and/or appearance of such information on One Economy's Sites.

One Economy has no obligation to, and does not in the normal course, monitor or control any information that is or becomes available on its Sites. One Economy reserves the right to review any information that is or becomes available on its Sites. One Economy reserves the sole right to refuse to post or to edit or remove, in whole or in part, any information that violates these rules. One Economy has no obligation to exercise such reservation of rights by One Economy; however, One Economy has adopted and implemented a policy respecting applicable U.S. and international copyright laws. One Economy reserves the right to terminate access to its Sites of content providers and/or forum participants who are found to provide or post protected material without necessary rights and permissions. By submitting information to One Economy, you grant One Economy a perpetual, royalty-free, worldwide license to use, transmit, copy and display such information in any and all media now known or hereinafter devised and represent that you have all necessary rights in such posting. While One Economy strives to provide users with the highest-quality related resources on all of its sites, we cannot and do not ensure the quality or accuracy of the One Economy content to which we link.

Disclaimer of Warranties: ONE ECONOMY SITES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF TITLE, NONINFRINGEMENT, OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ONE ECONOMY DOES NOT WARRANT THAT ANY INFORMATION IS COMPLETE OR ACCURATE, THAT ITS SITES WILL BE UNINTERRUPTED OR ERROR FREE OR THAT ANY INFORMATION IS FREE OF ROGUE PROGRAMMING.

Limitation of Damages: UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL ONE ECONOMY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES THAT MAY RESULT FROM THE USE OR INABILITY TO USE THE ONE ECONOMY WEB SITES, INCLUDING WITHOUT LIMITATION USE OF OR RELIANCE ON INFORMATION AVAILABLE ON THE ONE ECONOMY WEB SITES, INTERRUPTIONS, ERRORS, DEFECTS, MISTAKES, OMISSIONS, DELETIONS OF FILES, DELAYS IN OPERATION OR TRANSMISSION, NONDELIVERY OF INFORMATION, DISCLOSURE OF COMMUNICATIONS, OR ANY OTHER FAILURE OF PERFORMANCE.

Release and Indemnity: YOU HEREBY RELEASE AND WAIVE ANY AND ALL CLAIMS AND/OR LIABILITY AGAINST ONE ECONOMY AND/OR ITS AFFILIATED SITES ARISING FROM OR IN CONNECTION WITH YOUR USE OF ONE ECONOMY'S SITES. YOU ALSO AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS, ONE ECONOMY ITS OFFICERS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, DIRECTORS, OFFICERS, AGENTS, SITE PROVIDERS, SUPPLIERS, AND EMPLOYEES FROM AND AGAINST, ANY AND ALL CLAIMS OR LIABILITY, INCLUDING COSTS AND ATTORNEYS FEES, ARISING FROM OR IN CONNECTION WITH YOUR USE OF ONE ECONOMY'S SITES OR FAILURE TO ABIDE BY APPLICABLE LAW.

Electronic Delivery Policy: One Economy reserves the right to communicate and transact with its users electronically. WHEN YOU SIGN UP FOR ANY ONE ECONOMY WEB SITE, YOU CONSENT TO RECEIVE ELECTRONICALLY FROM ONE ECONOMY ANY PRIVACY OR OTHER NOTICES, AGREEMENTS, DISCLOSURES, REPORTS, DOCUMENTS, COMMUNICATIONS, OR OTHER RECORDS (COLLECTIVELY, "NOTICES"). You agree that One Economy generally can send you electronic Notices in either or both of the following ways: (1) to the e-mail address that you provided to One Economy during registration or (2) One Economy may post Notices on a welcoming screen or top page of the relevant One Economy Web site, tool or product. You agree that certain services may also have their own Notice procedures. You must check your designated e-mail address regularly for Notices. You must have or have access to a personal computer with a modem connected to a communications source (telephone, wireless or broadband), a Windows-based operating system with an Internet browser or a Macintosh-based operating system with an Internet browser and Internet e-mail software in order to access electronic communications. You will need a printer attached to your personal computer to print any Notices. You can retrieve an electronic copy and a printable version of the Terms of Service by clicking on the "Terms of Service" link on the home page of any One Economy Web site. The delivery of any Notice from One Economy is effective when sent by the organization, regardless of whether you read the Notice when you receive it or whether you actually receive the delivery. Your only method of withdrawing consent to receive Notices electronically is to terminate any services or other products provided under these Terms of Service.

Modifications: One Economy reserves the right to modify these Terms at any time. Such modifications will take effect upon placement on the One Economy Sites.

General: The Terms constitute the entire agreement between you and One Economy and govern your use of the One Economy Sites, superseding any prior agreements between you and One Economy with respect to the One Economy Sites. The Terms and the relationship between you and One Economy shall be governed by the laws of the District of Columbia without regard to its conflict of law provisions. You and One Economy agree to submit to the personal and exclusive jurisdiction of the courts located within the District of Columbia. The failure of One Economy to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the One Economy Sites or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. The headings in the Terms are for the purpose of convenience only, and have no legal or contractual significance.
